1. Acceptance of Terms
By accessing, browsing, or using ClinibazaaR (the 'Platform'), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ('Terms'), as well as our Privacy Policy.
If you do not agree to these Terms, you must not use the Platform. Your continued use of the Platform constitutes acceptance of any modifications to these Terms.
These Terms apply to all users of the Platform, including buyers, sellers, companies, freelancers, and visitors.
2. Eligibility and Account Registration
2.1 Age Requirement
You must be at least 18 years old to use ClinibazaaR. By using the Platform, you represent and warrant that you meet this age requirement.
2.2 Account Creation
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.
2.4 Account Types
ClinibazaaR offers individual, company, and freelancer accounts. Each account type has specific features and obligations as detailed in the Platform's documentation.
3. Platform Description and Services
ClinibazaaR is a global online marketplace connecting buyers and sellers of medical equipment. Our Platform facilitates:
• Listing and browsing medical equipment for sale
• Participating in equipment auctions
• Submitting and responding to equipment requests
• Connecting companies offering medical equipment services
• Facilitating communication between healthcare professionals
ClinibazaaR acts as a facilitator and is not directly involved in transactions between users unless explicitly stated (e.g., commission-based listings).
4. Buying and Selling Equipment
4.1 Listing Requirements
Sellers must provide accurate, complete, and truthful information about equipment, including brand, model, condition, price, photos, and relevant documentation. Misleading or false listings are prohibited.
4.2 Pricing and Fees
Sellers must pay applicable listing fees based on their selected publishing tier (Basic, Elite, Premium) or posting style (Normal, Auction, Commission). All fees are non-refundable unless otherwise stated.
4.3 Transaction Responsibility
ClinibazaaR facilitates connections between buyers and sellers but is not a party to transactions unless explicitly stated. Buyers and sellers are responsible for negotiating terms, payment, shipping, and resolving disputes.
4.4 Auctions
For auction listings, bids are binding commitments. The highest bidder at auction close is obligated to complete the purchase. Auction deposits are required and may be forfeited for non-compliance.
4.5 Commission Mode
For commission-based listings, ClinibazaaR manages the sale process and charges a commission percentage as specified at the time of listing.
5. Data Accuracy and Seller Liability
⚠️ IMPORTANT NOTICE:
ClinibazaaR is NOT responsible for any data, specifications, claims, or representations that may be inaccurate, misleading, incomplete, or false as provided by sellers.
Buyers assume full responsibility for:
• Verifying all equipment information, specifications, and condition
• Requesting additional photos, documentation, or third-party inspections
• Asking detailed questions before committing to a purchase
• Conducting due diligence on sellers and their reputation
• Inspecting equipment in person when possible
We strongly recommend that buyers thoroughly verify all details before making any payment or commitment. ClinibazaaR provides the platform but does not guarantee the accuracy of user-generated content.
6. Prohibited Activities and Content
Users are strictly prohibited from:
• Listing illegal, counterfeit, stolen, or unsafe equipment
• Listing non-medical items unrelated to healthcare
• Providing false or misleading information
• Engaging in fraudulent activities or scams
• Harassing, threatening, or abusing other users
• Circumventing platform fees or payment systems
• Using automated tools or bots without authorization
• Violating intellectual property rights
• Posting offensive, discriminatory, or harmful content
• Interfering with platform operations or security
7. Payment and Fees
7.1 Listing Fees
Sellers must pay listing fees based on their selected tier. Fees vary by posting style (Normal, Auction, Commission) and subscription status.
7.2 Payment Processing
All payments are processed through secure third-party payment providers. ClinibazaaR does not store your full payment information.
7.3 Refunds
Listing fees are generally non-refundable. Refunds may be issued at our discretion for rejected listings or platform errors.
7.4 Subscription Billing
Company subscriptions are billed according to the selected plan (monthly, quarterly, annually). Subscriptions auto-renew unless cancelled before the renewal date.
8. Intellectual Property Rights
All content on ClinibazaaR, including text, graphics, logos, icons, images, and software, is the property of ClinibazaaR or its licensors and is protected by copyright, trademark, and other intellectual property laws.
You retain ownership of content you post on the Platform but grant ClinibazaaR a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute your content for the purpose of operating and promoting the Platform.
You may not use ClinibazaaR's trademarks, logos, or branding without prior written consent.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
ClinibazaaR does not warrant that:
• The Platform will be uninterrupted, secure, or error-free
• Listings are accurate, complete, or reliable
• Equipment purchased through the Platform will meet your expectations
• Any errors or defects will be corrected
You use the Platform at your own risk. ClinibazaaR disclaims all liability for equipment quality, seller honesty, or transaction outcomes.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ClinibazaaR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Personal injury or property damage
• Disputes between users
• Equipment defects, misrepresentations, or non-delivery
• Unauthorized access to your account or data
Our total liability for any claim arising from your use of the Platform shall not exceed the amount you paid to ClinibazaaR in the 12 months preceding the claim.
11. Dispute Resolution and Indemnification
11.1 User Disputes
Disputes between users should be resolved directly between the parties. ClinibazaaR may provide mediation assistance but is not obligated to resolve disputes.
11.2 Indemnification
You agree to indemnify, defend, and hold harmless ClinibazaaR from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.
11.3 Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be resolved in the courts of Dubai.
12. Modifications and Termination
12.1 Terms Modifications
ClinibazaaR reserves the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after modifications constitutes acceptance.
12.2 Account Termination
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or at our sole discretion. You may delete your account at any time through account settings.
12.3 Effect of Termination
Upon termination, your right to use the Platform ceases immediately. Provisions regarding liability, indemnification, and dispute resolution survive termination.
